WEBSITE DESIGN & SERVICES AGREEMENT
This Website Agreement (“Agreement”) is entered into between
(“Client”) and Gina Ludwig DBA AGA Business Solutions (“AGA Business Solutions”) for the design, development, hosting, administration, and ongoing use of a custom website, subject to the terms and conditions contained in this Agreement.
WEBSITE PAGES & FEATURES INCLUDED
The initial website design includes the following pages, based on the Client’s individual business needs:

The specific pages included in the initial website will be determined during the planning and intake process. Not every website will require every page listed above.

Additional Website Pages
Additional standard website pages requested as part of the initial website build are $399 per page. This includes the design and setup of the page consistent with the overall branding, style, and structure of the website.
​
Pages requiring advanced functionality, extensive custom development, e-commerce setup, complex integrations, or other specialized features may require an additional quote.
Additional pages requested after the initial website has been completed and launched will be considered website edits and will be handled according to the Website Management and Additional Website Services provisions of this Agreement.

The Process & Services Included
GETTING STARTED
Website design and development will begin once the Client has completed all required onboarding steps, submitted the initial $1,000 setup fee plus the cost of any additional website pages, if applicable, and provided the information, content, access, and materials reasonably required by AGA Business Solutions to begin the project.

The Client understands that delays in providing requested materials, approvals, access, or feedback may delay the website timeline.
​
AGA Business Solutions is not responsible for delays caused by incomplete information, missing content, delayed approvals, third-party providers, or circumstances outside of its control.
​
CONTENT & PHOTOS
The Client is responsible for providing all information and materials reasonably necessary to complete the website, including business information, service details, pricing, policies, photographs, images, videos, logos, brand assets, testimonials, and any other requested materials.
​
The Client is responsible for ensuring that all information provided is accurate and that they have permission to use any photographs, images, videos, logos, graphics, or other materials submitted for the website.
​
AGA Business Solutions may assist with sourcing appropriate stock imagery when needed and when agreed upon as part of the website design process.
​
Delays in providing requested information, materials, or approvals may result in delays to the website completion timeline.
​
WEBSITE DESIGN & PAGES
AGA Business Solutions will begin by creating the Home Page design based on the Client’s branding, business information, goals, and direction provided during the onboarding process.
​
The Client will have the opportunity to review the Home Page and request revisions before the overall design direction is finalized.
​
Once the Home Page design is approved, AGA Business Solutions will proceed with the remaining website pages using the approved design direction.
​
After the additional pages are completed, the Client will be given the opportunity to review the full website and request additional revisions.
​
Unlimited reasonable revisions are included during the initial website design process, provided the requested revisions remain within the originally agreed website scope.
​
Requests that substantially change the approved design direction, add pages or functionality outside the original scope, or require a significant change in business direction may require an additional fee.
​
CONTENT
The Client is responsible for providing all information and materials reasonably necessary to complete the website, including but not limited to business information, service details, pricing, policies, photographs, images, videos, logos, brand assets, testimonials, and any other materials requested by AGA Business Solutions.
​
AGA Business Solutions will write and develop the website copy based on the information provided by the Client during the intake and planning process. This includes the written content needed for the website pages, including headlines, service descriptions, calls to action, taglines, and other website messaging.
​
The Client is responsible for reviewing all website content for accuracy and approving the final wording before launch.
​
Blog post writing is not included in the website design service unless separately agreed upon in writing.
​
Delays in providing requested information, materials, or approvals may result in delays to the website completion timeline.
​
WEBSITE COPY
AGA Business Solutions will write all website copy included within the agreed website scope based on the information provided by the Client during the intake and planning process.
​
Website copy may include headlines, hooks, taglines, service descriptions, About page content, calls to action, page introductions, and other written content necessary to complete the website. It does not include blog writing.
The Client will have the opportunity to review and request revisions to the website copy as part of the overall website revision process.
​
SEO & MOBILE OPTIMIZATION
AGA Business Solutions will optimize the website for mobile viewing and complete foundational on-page SEO setup as part of the initial website design.
​
This may include page titles, meta descriptions, image alt text, basic keyword placement, page structure, mobile formatting, and other standard website optimization practices where applicable.
AGA Business Solutions does not guarantee specific search engine rankings, website traffic, leads, or sales. Ongoing SEO strategy, keyword research, content creation, backlink development, or other advanced SEO services are not included unless separately agreed upon.
​
TRAINING
Once the website is complete, AGA Business Solutions will provide one 60-minute Zoom training session to familiarize the Client with the website backend and applicable Wix features.
​
Training will include basic website content updates the Client may reasonably manage themselves, such as adding or editing testimonials, photographs, portfolio items, featured work, and other designated website content.
AGA Business Solutions may also provide a general overview of additional Wix features available to the Client, including CRM tools, payments, email marketing, e-commerce, bookings, analytics, automations, and other business tools.
​
This overview is intended to familiarize the Client with available features and does not include comprehensive setup, implementation, strategy, or in-depth training.
​
Additional setup, configuration, implementation, or training beyond the included 60-minute session may require a separate service or additional fee.
​
CLIENT ACCESS & WEBSITE BACKEND
The Client will have access to the Wix business tools needed to operate their business, which may include CRM, contacts, forms, payments, invoicing, email marketing, bookings, e-commerce, analytics, automations, and other applicable Wix features.
​
The Client will not have access to the Wix Editor or be able to directly change the website design, layout, structure, styling, or pages during the term of this Agreement. Website design changes and edits will be completed by AGA Business Solutions as outlined in the Website Management and Additional Website Edits sections.
​
Backend access allows the Client to use and manage their business tools but does not transfer ownership of the website.
LAUNCHING YOUR WEBSITE
Once the website is complete and the Client has provided final approval, AGA Business Solutions will prepare the website for launch.
​
The Client is responsible for providing any information, access, approvals, or third-party account details reasonably required to complete the launch.
​
AGA Business Solutions will complete standard pre-launch checks, which may include reviewing mobile formatting, forms, links, domain connection, and other basic website functionality.
​
Delays caused by missing Client information, third-party providers, domain registrars, payment processors, or other outside services may affect the launch timeline.
​
After the website is launched, future changes and updates will be handled according to the Website Management and Additional Website Edits sections of this Agreement.
​
SUPPORT
AGA Business Solutions will provide reasonable support related to the Client’s existing website and permitted Wix backend access.
​
General support may include basic troubleshooting, help with access issues, and clarification regarding how an existing website feature works.
​
Support does not include setting up or implementing new Wix features, advanced tools, integrations, e-commerce, bookings, email marketing systems, automations, or other services not already included in the website.
Website changes and updates are handled separately under the Website Management and Additional Website Edits sections of this Agreement.
COMPLETION TIME
The estimated completion time for the initial website build is approximately six weeks once AGA Business Solutions has received the information, content, materials, and approvals needed to complete the project.
​
This timeline is an estimate and may be affected by the scope of the website, Client response times, delayed approvals, missing content or materials, third-party services, or other circumstances outside of AGA Business Solutions’ control.
​
Delays caused by the Client may extend the estimated completion timeline.
​
STANDARD WEBSITE CREDIT
A small website credit identifying AGA Business Solutions as the website designer may be included in the footer of the Client’s website during the term of this Agreement.
​
The credit will be discreet and will not interfere with the design or functionality of the website.
​
If ownership of the website is transferred to the Client in accordance with the Website Ownership and Buyout provisions of this Agreement, the Client may request that the website credit be removed.​​​
PAYMENT DETAILS & OPTIONS
OUTRIGHT WEBSITE PURCHASE OPTION
The Client may choose to purchase the website outright for $10,000 instead of entering into the 36-month monthly website plan.
​
The $10,000 purchase price includes the standard website design and development scope outlined in this Agreement. Additional website pages, advanced functionality, or services outside the standard scope may require an additional fee.
​
Once the website is completed, all applicable fees have been paid, and the website is approved for launch, ownership of the website will be transferred to the Client.
​
After ownership is transferred, the Client will be responsible for future Wix hosting, subscriptions, domain fees, apps, integrations, and other website-related costs.
​
Any future website edits, management, or support requested from AGA Business Solutions will be billed separately.​
MONTHLY WEBSITE PLAN
The standard initial website setup fee for the Monthly Website Plan is $1,000.
​
If the Client requests additional website pages or services beyond those included in the standard initial website scope, those costs will be added to the initial amount due as outlined above in this Agreement.
​
The total initial amount due must be paid before website design and development begins.
​
The initial setup fee and any fees paid for additional website pages or services are non-refundable once work on the project has begun.
​
Following completion and launch of the website, the Client will begin a 36-month monthly website service plan.
​
The Client will select one of the following options:
​
Website Plan: $349 per month
Includes continued use of the custom website, Wix Premium hosting, and general website support as outlined in this Agreement. Website edits and management time are not included and will be billed separately when requested.
​
Website + Management Plan: $399 per month
Includes continued use of the custom website, Wix Premium hosting, general website support, and 30 minutes of website management time per month as outlined in the Website Management section of this Agreement.
​
Monthly billing begins when the website is launched and continues for the duration of the initial 36-month Agreement term.
Client Selected Plan:
WIX PREMIUM HOSTING & BUSINESS PLAN
The Client’s monthly website plan includes the Wix Business Premium website plan, or a comparable replacement plan if Wix changes its plan names or structure.
​
This currently includes website hosting, business tools, online payments, e-commerce features, bookings, analytics, customer accounts, marketing tools, and up to 100 GB of storage.
​
Wix may change plan features, limits, or pricing over time.
​
Any upgrades or additional services beyond the included plan are the Client’s responsibility. This may include extra storage, upgraded Wix plans, premium apps, business email, Wix Email Marketing upgrades, payment processing fees, or other optional services.
​
If ownership of the website is transferred to the Client, the Client will become responsible for all future Wix-related costs.
​
WEBSITE MANAGEMENT
The Website + Management Plan includes 30 minutes of website management time each month.
​
Management time may be used for website updates such as:

Adding or replacing photos or images
-
Updating testimonials
-
Adding or updating portfolios or featured work
-
Editing or adding website copy
-
Adding or modifying website sections or pages
-
Creating or updating pop-ups
-
Updating forms, links, buttons, or calls to action
-
Making design or layout adjustments
-
Reviewing website analytics and discussing possible improvements
-
Other reasonable website updates
​
Management time does not include writing complete blog posts.
​
Management time is tracked in 15-minute increments. Any portion of a 15-minute increment will be rounded up to the next 15 minutes.
​
Unused time rolls over from month to month and may accumulate up to a maximum of six hours. Management time must be earned before it can be used and cannot be borrowed from future months.
​
Once the six-hour maximum is reached, no additional time will accrue until some of the accumulated time is used.
​
Unused management time has no cash value, is non-refundable, and expires if the Agreement ends or website ownership is transferred.
​
ADDITIONAL WEBSITE EDITS
Clients on the Website Plan may request website edits at a rate of $199 per hour.
​
Clients on the Website + Management Plan may request additional website work at a discounted rate of $149 per hour once their available management time has been used.
​
Website edits may include the types of updates listed in the Website Management section.
​
AGA Business Solutions will provide a reasonable time estimate before beginning substantial billable work whenever practical.
​
INITIAL AGREEMENT TERM
The initial term of this Agreement is 36 months beginning on the date the website is launched.
​
During this time, the Client will maintain an active monthly website plan with AGA Business Solutions.
​
AGA Business Solutions retains ownership of the website during the 36-month term unless the Client purchases ownership under the Early Ownership Buyout provisions of this Agreement.
​
PURCHASING YOUR WEBSITE EARLY
The Client may choose to purchase full ownership of the website before the 36-month Agreement ends.
​
The purchase price decreases after each completed six-month period:

After 6 completed months: $7,500
-
After 12 completed months: $6,000
-
After 18 completed months: $4,750
-
After 24 completed months: $3,500
-
After 30 completed months: $2,500
​
The applicable purchase price is based on the most recently completed six-month period and is not prorated between milestones.
​
Monthly website plan payments are for the ongoing website service, hosting, support, and other services included in this Agreement. They are not installment payments toward ownership of the website.
​
Once the applicable purchase price and any outstanding balance have been paid, ownership of the website will be transferred to the Client.
​
WHAT HAPPENS AFTER 36 MONTHS
At the end of the initial 36-month Agreement, the Client may choose one of the following options:
OPTION 1: PURCHASE THE WEBSITE
The Client may purchase full ownership of the existing website for $1,500.
​
After the website is transferred, the Client will be responsible for future Wix hosting, subscriptions, domain fees, apps, integrations, and other website-related costs.
​
Any future work requested from AGA Business Solutions will be billed separately at the current website service rate.
​
OPTION 2: REDESIGN & BEGIN A NEW 36-MONTH AGREEMENT
The Client may begin a new 36-month website agreement and receive a fresh website redesign with no additional setup fee.
​
The redesign will include a new website design and updated website copy within the standard website scope offered by AGA Business Solutions at that time.
​
Additional pages, advanced functionality, or services outside the standard scope may require an additional fee.
The new Agreement will be based on the pricing, services, and terms in effect at the time of renewal.
​
OPTION 3: CONTINUE WITH THE EXISTING WEBSITE
The Client may keep the existing website and continue on a month-to-month basis for $199 per month.
​
This includes ongoing Wix Premium hosting, general website support, and 30 minutes of website management time per month.
​
The Client may cancel the month-to-month service at any time according to the cancellation terms of this Agreement.
​
The website may still be purchased for $1,500 while the Client remains on the month-to-month plan.
​
MISSED OR LATE PAYMENTS
If a monthly payment is missed or unsuccessful, the Client will have 30 days from the original due date to bring the account current.
​
During this 30-day grace period, AGA Business Solutions may pause website management work, additional edits, or other non-essential services until payment is received.
​
If the account remains unpaid after 30 days, AGA Business Solutions may temporarily unpublish the website and suspend the Client’s backend access until all past-due amounts have been paid.
​
Once the account is brought current, the website and applicable access will be restored as soon as reasonably possible.
​
A temporary suspension due to nonpayment does not cancel the Agreement or pause the 36-month Agreement term.
​
If the account remains unpaid after the grace period and the Client does not make reasonable payment arrangements with AGA Business Solutions, the Agreement may be treated as an early termination and the applicable Early Termination Fee may become due.
​
EARLY TERMINATION
The Client understands that the $1,000 initial setup fee is lower than the full cost of creating the custom website because the remaining value is recovered over the 36-month Agreement.
​
If the Client chooses to end the Agreement before the 36-month term is complete and does not purchase the website, the following Early Termination Fee will apply:

During months 1 through 5: $6,000

After 6 completed months: $5,500
-
After 12 completed months: $4,500
-
After 18 completed months: $3,500
-
After 24 completed months: $2,500
-
After 30 completed months: $1,500
​
The applicable fee is based on the most recently completed milestone and is not prorated between milestones.
Paying the Early Termination Fee ends the Agreement but does not transfer ownership of the website.
​
If the Client wants to end the Agreement and keep the website, the Client must instead use the Purchasing Your Website Early option described in this Agreement.
​
Once the Agreement ends, AGA Business Solutions may unpublish the website and discontinue the Client’s access to the website and related services.
​
Any unpaid monthly payments, additional website work, or other approved charges remain due in addition to the applicable Early Termination Fee.
​
TERMINATION BY AGA BUSINESS SOLUTIONS
In rare and extreme situations, AGA Business Solutions may need to end the Agreement if the Client repeatedly fails to meet the terms of the Agreement, including continued nonpayment, or if continuing the working relationship is no longer reasonably possible.
​
Whenever possible, AGA Business Solutions will first notify the Client of the issue and provide a reasonable opportunity to correct it.
​
Immediate suspension or termination may be necessary in situations involving fraud, unlawful activity, serious security concerns, or other circumstances that require immediate action.
​
If the Agreement ends because of an unresolved issue caused by the Client, including continued nonpayment, any applicable Early Termination Fee and outstanding amounts may still be due.
​
If AGA Business Solutions ends the Agreement for reasons unrelated to an issue caused by the Client, the Client will not be responsible for an Early Termination Fee.
​
WEBSITE OWNERSHIP & TRANSFER
AGA Business Solutions owns the website design and structure during the term of this Agreement.
​
The Client always retains ownership of their own business materials, including their logo, photographs, videos, trademarks, written materials, and other content they provide.
​
If the Client purchases the website under the terms of this Agreement, AGA Business Solutions will transfer ownership after all applicable fees and outstanding balances have been paid.
​
Once the website is transferred, the Client becomes responsible for future Wix hosting, subscriptions, domains, apps, integrations, and other website-related costs.
​
Any future website work requested from AGA Business Solutions after transfer will be billed separately.
The client understands that this contract and the terms contained within it are not considered to be in effect and binding until their initial deposit is made. AGA Business Solutions reserves the right to amend the terms of this contract at any time before the initial deposit is paid.

The client understands that work on their project and the projected timeline will not be in effect until the client submits their intake form and uploads all required images to start their website.
